These Terms of Service ("Terms") govern your access to and use of the BrightGrid Software website at brightgridsoftware.com and any services provided by BrightGrid Software ("BrightGrid," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

BrightGrid Software provides custom website design and development, local SEO marketing, booking and automation systems, brand identity design, and social media management services, primarily for home service contractors and small-to-medium businesses. The specific scope, deliverables, timeline, and pricing for any project engagement are defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.

2. Use of Website

You agree to use our website only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the website in any way that violates applicable federal, state, or local law.
  • Attempt to gain unauthorized access to any portion of the website or any systems or networks connected to the website.
  • Use any robot, spider, scraper, or other automated means to access the website without our prior written permission.
  • Introduce any viruses, trojans, worms, or other harmful material to the website.
  • Collect or store personal information of other users without their consent.

3. Intellectual Property

3.1 Our Content

All content on the BrightGrid Software website — including text, graphics, logos, icons, images, code, and design — is the property of BrightGrid Software and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without prior written permission.

3.2 Client Work

Upon full payment for a project engagement, all custom design and code deliverables specified in the SOW are transferred to the client. BrightGrid retains the right to showcase completed projects in our portfolio unless otherwise agreed upon in writing. Third-party tools, fonts, and libraries used in your project remain subject to their respective licenses.

4. Payments & Refunds

  • Payment terms are outlined in each project proposal or SOW. Standard structure: 50% deposit, 25% at milestone, 25% at launch.
  • Monthly retainer services (hosting, SEO, maintenance) are billed on a recurring monthly basis and can be cancelled with 30 days written notice.
  • Refund policy: Deposits are non-refundable once work has commenced. Unused portions of cancelled retainer services will be prorated for the current billing cycle.
  • Late payments beyond 15 days of the invoice due date may result in service suspension until the balance is resolved.

5. Project Timelines & Client Responsibilities

Project timelines outlined in your SOW are estimates based on timely client feedback and asset delivery. Delays caused by late client responses, content delivery, or scope changes may extend the timeline. BrightGrid will communicate proactively about any timeline impacts and work collaboratively to minimize delays.

6. Warranties & Disclaimers

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

While we strive to deliver high-quality work that meets the specifications in your SOW, we do not guarantee specific business outcomes such as search engine rankings, lead volumes, or revenue increases. SEO and marketing results depend on many factors outside our control.

7. Limitation of Liability

To the maximum extent permitted by law, BrightGrid Software and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our website or services. Our total liability shall not exceed the amount paid by you to BrightGrid in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless BrightGrid Software from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our website, violation of these Terms, or infringement of any third-party rights.

9. Third-Party Services

Our services may integrate with or link to third-party platforms including Google Analytics, Google Calendar, Stripe, Firebase, ServiceTitan, Housecall Pro, and social media platforms. Your use of these third-party services is governed by their respective terms and privacy policies. BrightGrid is not responsible for the availability, accuracy, or practices of third-party services.

10. Termination

We reserve the right to terminate or suspend your access to our website at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests. For ongoing service engagements, either party may terminate with 30 days written notice, subject to the payment terms in Section 4.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Hillsborough County, Florida.

12. Changes to These Terms

We may revise these Terms at any time by updating this page. Material changes will be communicated via the "Last Updated" date at the top of this page. Your continued use of the website after changes are posted constitutes acceptance of the revised Terms.
